These Terms & Conditions ("Terms") govern the business-to-business (B2B) relationship between Lumido-TOKYO ("we," "us," "our") and the Travel Agency or Partner ("you," "your," or "the Agency") engaging our services to arrange customized travel experiences in Japan for your clients ("Travelers").

Scope of Services

Lumido-TOKYO acts as a bespoke travel service arrangement operator and coordinator in Japan. We specialize in curating and arranging accommodations, transportation, cultural experiences, wellness retreats, and guide services provided by independent third parties.

Booking and Payment Terms

Given the highly customized nature of our services and the requirements of our premium local partners, the following payment schedule applies unless otherwise agreed in a separate Service Agreement:

Deposit: A 50% deposit of the total estimated invoice is required to initiate and secure bookings. Certain accommodations, private venues, and exclusive cultural experiences may require early confirmation and advance payment due to limited availability.

Balance Payment: The remaining 50% balance must be paid in full no later than one (1) month (30 days) prior to the tour start date.

Currency: All invoices are issued in Japanese Yen (JPY). The Agency is responsible for all bank transfer fees or currency exchange costs.

Cancellation Policy

Due to the bespoke nature of our services and the advance commitments required by our local suppliers (such as luxury ryokans, private artisans, and specialized guides), cancellation fees apply as follows:

More than 30 days before the tour start date: Refundable minus any non-refundable costs already incurred and paid to local suppliers.

29–15 days before the tour start date: 50% of the total confirmed amount.

14 days or less before the tour start date: 100% of the total confirmed amount.

Any bank transfer fees, currency exchange losses, or non-recoverable supplier charges will be deducted from refunds where applicable.

Force Majeure (Unavoidable Circumstances)

Neither party shall be deemed in breach of these Terms, nor liable for any failure or delay in performance, if such failure is due to "Force Majeure."

Definition: Force Majeure includes acts of God, severe natural disasters, war, terrorism, civil unrest, or government-imposed travel bans that make the execution of the tour impossible.

Resolution: In such cases, Lumido-TOKYO will make reasonable efforts to reschedule services or recover refundable amounts from suppliers where possible. However, we cannot guarantee the refund of funds already disbursed to third-party suppliers who have their own non-refundable policies.

Liability and Disclaimer

Lumido-TOKYO acts as a travel coordinator for independent third-party service providers, including accommodations, transportation providers, guides, artisans, and activity hosts.

Supplier Responsibility: While we carefully select and coordinate with our partners, these providers operate independently and are responsible for delivering their respective services.

Limitation of Liability: To the maximum extent permitted under applicable law, Lumido-TOKYO shall not be liable for any injury, loss, damage, delay, accident, or irregularity arising from the acts, omissions, or circumstances of third-party providers.

Exclusions: Nothing in these Terms excludes liability arising from our own gross negligence or willful misconduct.

Travel Insurance

We strongly recommend that all Travelers obtain comprehensive travel insurance covering medical expenses, trip cancellations, personal liability, and unforeseen travel disruptions prior to arriving in Japan. It is the Agency's responsibility to advise Travelers accordingly.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms or the services provided shall be submitted to the Tokyo District Court as the court of first instance.
